These Facility Partner Terms and Conditions ("Terms") govern participation in the Pirex Solutions Facility Partner Program and are incorporated into each Facility License Agreement entered into between Pirex Solutions LLC and an approved Facility Partner.
CORPORATE STRUCTURE
Pirex Solutions LLC ("Pirex Solutions," "Pirex," "we," "our," or "us") is the operating company responsible for administering the Pirex Solutions truck parking network and Facility Partner Program.
Pirex Solutions LLC is owned by Pirex Holdings Company LLC.
Unless a written agreement expressly provides otherwise, Pirex Solutions LLC—not Pirex Holdings Company LLC—is the contracting party under each Facility License Agreement and these Terms.
Nothing in these Terms makes Pirex Holdings Company LLC responsible for the contractual obligations of Pirex Solutions LLC except where Pirex Holdings Company LLC separately agrees to such obligations in a written instrument signed by an authorized representative.
KEY TERMS AT A GLANCE
Under the standard revenue-share structure:
Facility Partner Share: 70%
Pirex Solutions Operating Fee: 30%
Pirex Solutions manages customer acquisition, reservations, billing, customer support, account administration, and access-credential management.
The Facility Partner provides and maintains the physical property and is responsible for ensuring that the Facility remains legally authorized, reasonably safe, accessible, insured, and capable of supporting the agreed commercial vehicle parking operations.
Revenue-share payments are processed monthly through ACH according to the applicable Facility License Agreement.
Unless a Facility License Agreement establishes a different term, either party may terminate the relationship upon 30 days' written notice without an early termination penalty.
The Facility Partner is an independent contracting party and is not an employee, agent, franchisee, joint venturer, or legal representative of Pirex Solutions LLC or Pirex Holdings Company LLC.
SECTION 1 — DEFINITIONS
Pirex Solutions
Pirex Solutions means Pirex Solutions LLC, the operating company administering the Pirex Solutions commercial truck parking network and Facility Partner Program.
Pirex Solutions LLC is owned by Pirex Holdings Company LLC.
Parent Company
Parent Company means Pirex Holdings Company LLC, the owner of Pirex Solutions LLC.
The Parent Company is not a party to an individual Facility License Agreement merely because of its ownership of Pirex Solutions LLC.
Facility Partner
Facility Partner means the individual or legal entity approved by Pirex Solutions to provide commercial vehicle parking capacity and that has entered into a Facility License Agreement with Pirex Solutions.
Facility
Facility means the real property, parking areas, access points, drive aisles, and applicable infrastructure identified in the Facility License Agreement and approved for participation in the Pirex Solutions network.
Customer
Customer means a driver, owner-operator, motor carrier, fleet, enterprise customer, or other authorized person or entity that purchases or receives parking access through Pirex Solutions.
Where legacy agreements use the term "Member," references to Member will be interpreted as references to an applicable Pirex Solutions Customer unless the agreement expressly provides otherwise.
Facility License Agreement
Facility License Agreement means the written agreement between Pirex Solutions LLC and a Facility Partner establishing the property-specific commercial terms applicable to a Facility.
Gross Parking Revenue
Gross Parking Revenue means parking revenue actually collected by Pirex Solutions and attributable to parking transactions or accounts assigned to the applicable Facility, subject to the specific adjustments established in the Facility License Agreement.
The Facility License Agreement should specify the treatment of refunds, chargebacks, disputed payments, taxes, payment-processing charges, promotional credits, and other adjustments.
Revenue Share
Revenue Share means the portion of applicable Gross Parking Revenue payable to the Facility Partner.
Unless otherwise specified in a Facility License Agreement, the standard Facility Partner Revenue Share is 70%, with 30% retained by Pirex Solutions as its operating fee.
Access Credentials
Access Credentials include gate codes, digital credentials, RFID credentials, license-plate authorizations, mobile credentials, key fobs, or other methods authorized by Pirex Solutions for Facility access.
Activation Date
Activation Date means the date Pirex Solutions authorizes the Facility to begin accepting Pirex customers through the Pirex Solutions network.
SECTION 2 — RELATIONSHIP OF THE PARTIES
Pirex Solutions LLC and the Facility Partner are independent contracting parties.
Nothing contained in these Terms or a Facility License Agreement creates an:
Employer-employee relationship;
Agency relationship;
Partnership;
Joint venture;
Franchise;
Fiduciary relationship; or
Landlord-tenant relationship between Pirex Solutions and the Facility Partner.
The Facility Partner retains ownership and control of its property.
The Facility License Agreement grants Pirex Solutions only the contractual rights expressly stated in that agreement, including applicable rights to market parking capacity, accept reservations, collect payments, manage customer access, and administer parking activity.
Unless expressly stated otherwise, a Facility License Agreement does not constitute a lease, conveyance, transfer of title, or transfer of ownership in the Facility.
SECTION 3 — PIREX HOLDINGS COMPANY LLC
Pirex Holdings Company LLC owns Pirex Solutions LLC.
The Facility Partner acknowledges that its Facility License Agreement is entered into with Pirex Solutions LLC, unless another entity is expressly identified as a contracting party.
Accordingly, ownership of Pirex Solutions LLC by Pirex Holdings Company LLC does not by itself:
Make Pirex Holdings Company LLC a party to the Facility License Agreement;
Create a contractual relationship between the Facility Partner and Pirex Holdings Company LLC;
Constitute a guarantee by Pirex Holdings Company LLC of Pirex Solutions LLC's obligations; or
Permit claims against the Parent Company solely because it owns Pirex Solutions LLC.
Nothing in this Section limits obligations expressly assumed by Pirex Holdings Company LLC under a separate written agreement.
SECTION 4 — INSURANCE
Throughout the term of the Facility License Agreement, the Facility Partner shall maintain commercial general liability insurance appropriate for the Facility and its commercial vehicle parking operations.
Unless Pirex Solutions approves different requirements in writing, minimum coverage shall be:
$1,000,000 per occurrence
$2,000,000 general aggregate
Pirex Solutions LLC shall be named as an additional insured where commercially available and appropriate.
Pirex may require reasonable evidence of insurance before activation and periodically thereafter.
The Facility Partner shall promptly notify Pirex of cancellation, material reduction, or lapse of required insurance coverage.
Failure to maintain required insurance may result in suspension of new reservations or Facility access until coverage is restored.
Additional insurance requirements may be established in the applicable Facility License Agreement based on Facility size, location, operations, risk profile, or contractual requirements.
SECTION 5 — REVENUE SHARE
Unless otherwise stated in the Facility License Agreement, the Facility Partner will receive 70% of applicable Gross Parking Revenue, and Pirex Solutions will retain 30% as its operating fee.
The Facility License Agreement or applicable revenue schedule will establish the treatment of:
Refunds;
Chargebacks;
Fraudulent transactions;
Payment reversals;
Taxes;
Promotional credits;
Payment-processing costs; and
Other adjustments.
Pirex will provide the Facility Partner with periodic reporting showing the revenue attributable to the Facility and the resulting Revenue Share.
Revenue-share payments will ordinarily be made by ACH according to the payment schedule contained in the Facility License Agreement.
No provision should be interpreted as guaranteeing a minimum amount of revenue, occupancy, customers, reservations, or parking utilization unless Pirex expressly provides such a guarantee in a written agreement.
SECTION 6 — LIABILITY OF THE PARENT COMPANY
To the fullest extent permitted by applicable law, references in these Terms to Pirex's affiliates do not make Pirex Holdings Company LLC independently liable for the contractual obligations of Pirex Solutions LLC.
Nothing in these Terms is intended to eliminate liability that cannot lawfully be excluded or to prevent a party from pursuing rights otherwise available under applicable law.
SECTION 7 — ASSIGNMENT AND CORPORATE REORGANIZATION
The Facility Partner may not assign a Facility License Agreement without Pirex Solutions LLC's prior written consent.
Pirex Solutions may assign or transfer a Facility License Agreement to:
Pirex Holdings Company LLC;
Another subsidiary or affiliate under common ownership;
A successor entity;
An acquiring company; or
Another entity in connection with a merger, acquisition, financing, restructuring, sale, or transfer of substantially all relevant business assets,
subject to applicable law and any limitations expressly contained in the Facility License Agreement.
SECTION 8 — GOVERNING DOCUMENTS
The contractual relationship between Pirex Solutions and a Facility Partner may include:
The Facility License Agreement;
These Facility Partner Terms and Conditions;
Applicable Facility Standards;
Applicable insurance requirements;
Applicable operating or security requirements; and
Written amendments or addenda executed by the parties.
If there is a direct conflict between these Facility Partner Terms and a signed Facility License Agreement, the Facility License Agreement controls with respect to the specific Facility unless the agreement expressly states otherwise.
